Where the listing stands

OpenAI confidentially filed an S-1 with the SEC on 8 June 2026, with Goldman Sachs and Morgan Stanley reported as lead underwriters. The market had circled September 2026 as the listing window, based on reporting rather than company guidance. September arrived with no pricing date and no public registration. CFO Sarah Friar told employees on 19 August that OpenAI 'will be a public company in 2027', or sooner only if the business continues to inflect.

Altman's position on timing

In a 12 September 2026 interview, Sam Altman said 'right now would be an ill-advised moment to go public' and confirmed 'not 2026' when pressed. He has separately told investors he will not take the company public below a $1 trillion valuation. That combination — a stated valuation floor plus a deliberate delay — means the deal only arrives when public markets are ready to clear the bar.

The valuation and the pressure behind it

OpenAI closed a $122 billion round on 31 March 2026 at an $852 billion post-money valuation, the largest private funding round on record, and ran a roughly $7 billion employee tender in August 2026. Reporting puts 2025 revenue near $13 billion and 2026 revenue near $2 billion a month. SoftBank's $40 billion bridge loan maturing in March 2027 is widely read as a clock on the timetable.

The Anthropic sequencing question

Both labs are confidentially on file at the same time. Bankers have described this as a sequencing problem: whichever prices first sets the reference multiple for the other. Friar has told staff not to worry if Anthropic lists first. For investors, an Anthropic debut is effectively a live pricing experiment for OpenAI's own book.

Strengths

  • Consumer and enterprise reach of ChatGPT gives it the widest distribution in the category
  • Very large recent primary raise leaves the business well funded without a listing
  • Deep strategic relationships with Microsoft and Nvidia across compute and distribution
  • Confidential filing already complete, so a public registration can move quickly

Risks

  • The $1 trillion valuation floor may not clear in a weaker market
  • Heavy ongoing capital requirements for compute and data-centre commitments
  • SoftBank's March 2027 bridge maturity creates financing pressure around the timetable
  • Governance and corporate-structure complexity is unusual for a listing of this size
  • Direct competition from Anthropic and Google for enterprise share
